Terms & Conditions
Lingua Service LLC · Effective October 5, 2026
These Terms & Conditions apply to each request for a quote from Lingua Service LLC for the provision of translation, certification, and notarization services, and to the provision of services following the Client’s acceptance of a quote from Lingua Service LLC.
1. Definitions
- “Accepted Quote” means a Quote which the Client accepts in writing to Lingua Service LLC, including by giving written notice to proceed or by confirming and paying for a project (the Client may not alter the Quote; an altered Quote is deemed not accepted).
- “Certificate of Accuracy” means the signed statement issued with a certified translation attesting that the translation is a complete and accurate rendering of the Source Materials.
- “Client” means the person or entity that requests services from Lingua Service LLC (or on whose behalf services are requested).
- “Confidential Information” means any proprietary information disclosed in confidence by one party to the other (including, for the Client, the Source Materials and the Deliverables), excluding information that is public, already known on receipt, received in good faith from a third party, or required by law to be disclosed.
- “Contract” means a contract comprising an Accepted Quote and these Terms & Conditions.
- “Deliverables” means the final translated, certified, and/or notarized documents produced as a result of the Services.
- “Intellectual Property” includes all copyright, trademarks, designs, know-how, trade secrets, logos, and similar rights, whether registered or unregistered.
- “Quote” means a quote issued by Lingua Service LLC to the Client.
- “Services” means the services specified in the Quote (translation from Russian, Ukrainian, or Spanish into English, with certification and, where requested, notarization).
- “Source Materials” means the document(s) submitted by the Client for the Services.
- “Business Day” means any day other than a Saturday, Sunday, or U.S. public holiday.
2. Requests for Services
2.1 Each request for services and supply of Source Materials is made subject to these Terms.
2.2 No contract exists in respect of any request or Source Materials unless and until there is an Accepted Quote. Once there is an Accepted Quote, a Contract is formed for the Services described in it.
2.3 Lingua Service LLC will issue a Quote after receiving a request made in accordance with the procedures on the website.
2.4 Lingua Service LLC may decline to issue a Quote, decline to provide Services, or discontinue Services already commenced if the Source Materials contain material it considers offensive, obscene, unlawful, or inappropriate, or if it has reason to believe the Client lacks the right to submit them or that the Services cannot lawfully be performed. Where Services are declined or discontinued after payment, Lingua Service LLC will refund amounts paid for Services not performed.
3. Provision of Services
3.1 Subject to receipt of all amounts due, Lingua Service LLC will provide the Services specified in the Accepted Quote in accordance with its standard practices and procedures.
3.2 The Client must provide all information requested and ensure it is accurate and complete, including required spellings of names, places, and terms.
3.3 Lingua Service LLC has no responsibility to complete the Services for the price quoted if the word count, page count, or nature of the documents varies from what was apparent from the Source Materials when first quoted. In such a case Lingua Service LLC will provide a corrected quote with the difference owing and an amended delivery date if necessary, and may suspend performance pending acceptance. The Client may instead receive a full refund if the corrected quote is not acceptable.
3.4 Lingua Service LLC has no obligation to review the Source Materials for, or to correct, any errors or omissions in them, and accepts no liability for the effect such errors may have on the Deliverables.
3.5 On completion and subject to receipt of all amounts due, Lingua Service LLC will issue the Deliverables. It will use reasonable endeavors to deliver on or before the agreed date but accepts no liability for delay, including delay caused by incomplete or illegible Source Materials or by outstanding information requested from the Client.
4. Scope of Services
4.1 Lingua Service LLC provides translation, certification, and notarization services only. The Services do not include, and nothing in any Deliverable constitutes, legal advice or any opinion as to the legal effect, authenticity, or completeness of any document.
4.2 A Certificate of Accuracy attests to the completeness and accuracy of the translation. It is not a legal opinion and does not certify the authenticity or validity of the original document.
5. No Guarantee of Acceptance
5.1 Lingua Service LLC does not represent or warrant that any Deliverable will be accepted, admitted, or relied upon by USCIS, any court, tribunal, government agency, or other institution, or that it is suitable for any particular purpose. Whether a Deliverable is accepted is determined solely by the relevant authority and by applicable rules. The Certificate of Accuracy describes the process and credentials under which the Deliverable was produced and is not a guarantee of acceptance. It is the Client’s responsibility to confirm the specific formatting, certification, or submission requirements of the receiving authority.
6. Testimony, Declarations, and Legal Process
6.1 The Services do not include, and no Contract obliges Lingua Service LLC or any of its linguists, employees, or contractors to provide, appearance or testimony as a witness, the execution of any declaration or affidavit beyond the standard Certificate of Accuracy, or participation in any deposition, hearing, or consultation concerning the Deliverables, other than as required by law.
6.2 If Lingua Service LLC or any of its personnel is compelled by subpoena or other legal process to testify, produce records, or otherwise participate in any proceeding concerning the Services or Deliverables (except where the compulsion results from Lingua Service LLC’s own wrongdoing), the Client is liable for all reasonable costs of compliance, including professional time at then-current rates, expenses, and attorneys’ fees, and will pay a reasonable estimate in advance on demand.
7. File Handling, Retention, and Deletion
7.1 Source Materials and Deliverables are retained only as long as needed to perform and support the Services and are permanently deleted from Lingua Service LLC’s systems no later than 180 days after delivery (or, where a quote is requested but no Accepted Quote results, no later than 180 days after the Quote or submission). Lingua Service LLC may delete materials earlier at the Client’s request, and may retain materials longer where required by law.
7.2 Files are transmitted over HTTPS and stored in a secure environment encrypted at rest. Access to stored materials is strictly controlled and limited to authorized personnel working on the project.
7.3 The Client is solely responsible for retaining its original documents and for downloading and preserving the Deliverables upon delivery. Lingua Service LLC has no obligation to keep copies beyond the period in clause 7.1 and accepts no liability for the unavailability of materials after that period.
8. Production Workflow
8.1 Lingua Service LLC may use software tools in producing the Deliverables (for example, for preliminary drafting and quality assurance). All Deliverables are reviewed, corrected as needed, and finalized by qualified human linguists, and each Certificate of Accuracy is signed by a human linguist who takes responsibility for the final Deliverable.
9. Payment
9.1 Payment for the Services is due upfront unless alternative terms are agreed in the Accepted Quote. Payment may be made by Zelle to [email protected] or (929) 756-2020, or by another method stated in the Quote. Work begins once payment has cleared.
9.2 Where a corrected quote is issued under clause 3.3 and accepted, the difference owing is payable before issuance of the Deliverables.
10. Refund Policy
10.1 Lingua Service LLC will provide a refund in respect of the affected Services if: (a) the Client terminates without cause within the period in clause 14.1; (b) the Deliverables are not delivered within 4 Business Days after the delivery date in the Accepted Quote (as it may be extended), provided the Client supplied all required information in a timely manner; (c) the Deliverables are significantly different from those specified in the Accepted Quote (for example, the wrong target language); or (d) the Deliverables contain gross errors, provided the Client first requests revisions identifying the errors within 10 Business Days of delivery. Minor errors corrected by Lingua Service LLC within a reasonable time do not qualify for a refund.
10.2 A qualifying refund is 100% of the amount paid for the affected Services. Refund requests must be made in writing to [email protected].
11. Intellectual Property
11.1 Nothing in a Contract transfers to Lingua Service LLC ownership of any Intellectual Property in the Source Materials or Deliverables. Upon full payment, the Client may use the Deliverables for its intended purpose.
11.2 All Intellectual Property in the processes, methodology, and know-how used by Lingua Service LLC remains its property.
12. Confidential Information
12.1 The parties acknowledge the confidential nature of the Confidential Information. Neither party may disclose it other than to its personnel or contractors to the extent necessary to perform the Contract, with the other party’s written consent, or to its professional advisers, or as required by law.
13. Client Warranties & Indemnity
13.1 The Client represents and warrants that it owns or has all necessary rights in the Source Materials to submit them and request the Services without infringing any third party’s rights; that it has authority to enter into the Contract; that where it acts on behalf of another person it has that person’s authority; and that it will use the Deliverables only for lawful purposes.
13.2 The Client indemnifies Lingua Service LLC against any losses, costs (including reasonable legal costs), expenses, demands, or liability arising from a third-party claim resulting from any breach of the warranties in this clause.
14. Termination
14.1 The Client may terminate a Contract without cause up until 30 minutes after first payment is received, by written notice within that period.
14.2 After that period the Client has no right to terminate without cause but may request termination in writing; Lingua Service LLC may accept or decline at its discretion and, if it accepts, will retain the portion of fees corresponding to Services performed and refund the balance.
14.3 Either party may terminate immediately if the other materially breaches the Contract and fails to remedy within 20 days of notice, or becomes insolvent. On termination, amounts due become immediately payable, and provisions intended to survive termination remain in force.
15. Liability
15.1 Subject to clause 15.2, Lingua Service LLC is liable for direct loss only (excluding loss of business or profits and all consequential loss) up to a maximum of the total fees paid by the Client for the affected Services.
15.2 Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
15.3 The Client is solely responsible for reviewing each Deliverable for accuracy and suitability before any use, including before filing or submission to any authority, and releases Lingua Service LLC from any claim arising from such use except to the extent of its liability under clause 15.1.
16. Dispute Resolution
16.1 Before commencing any court proceedings, the party raising a dispute must give the other written notice of the dispute and nominate a representative with authority to settle it; the other party must within 14 days nominate its representative, and the parties will attempt in good faith to resolve the dispute by negotiation.
17. General
17.1 Entire agreement: each Contract is the complete and exclusive statement of the agreement between the parties on its subject matter.
17.2 Amendments: no amendment is effective unless in writing and agreed by both parties.
17.3 Waiver: a failure or delay in exercising a right is not a waiver of it.
17.4 Severability: if any provision is or becomes invalid or unenforceable, the remainder remains enforceable to the greatest extent permitted by law.
17.5 Independent contractor: Lingua Service LLC is an independent contractor; nothing makes either party a partner, agent, or employee of the other.
17.6 Assignment: the Client must not assign its rights under a Contract without Lingua Service LLC’s prior written consent.
17.7 Precedence: in the event of conflict between the Accepted Quote and these Terms, these Terms take precedence unless stated otherwise.
18. Notices
18.1 Notices must be in writing and sent by email to [email protected].
19. Governing Law
19.1 Each Contract is governed by and construed in accordance with the laws of the State of Ohio, United States, and the parties submit to the non-exclusive jurisdiction of the courts located in the State of Ohio.
